Commercial Transactions: Florence has represented and advised numerous clients with respect to complex commercial transactions:

Preparing business agreements including

  • Vendor agreements
  • Supply chain agreements including representing automobile parts suppliers to Japanese car manufacturers.
  • Distribution agreements
  • IT Service agreements, including for the following entities:

    A publicly traded Japanese entity developing applications and distribution of content.

    A major subsidiary of a multi-billion-dollar parent company for information technology maintenance agreements.

    A developing new online business model for a long-established Japanese company.

    Data-distribution agreements for significant media company.

Preparing of sale/purchase agreements—represented various manufacturers, freight forwarding companies, and real estate developers for sale/purchase of assets and transfer of stock ownership.

Providing advice and counsel to a real estate developer seeking to utilize New York State and New York tax incentives to support the development of a large residential project.

Business Disputes/Litigation/Dispute Resolution: Florence has represented business clients in a wide array of business disputes, including litigation in state and federal courts of New York, New Jersey, Michigan, Texas, and Illinois, and in settlement negotiations and alternative dispute resolution (mediation and arbitration). Trade secret misappropriation actions

  • Represented a supplier of automobile parts for an action in federal court in Michigan for claims of trade secrets and breach of contract that resulted in a settlement in favor of client.
  • Represented an accounting firm against competitor where former employee had misappropriated trade secrets and provided them to the competitor resulted in a settlement in favor of client.

Copyright actions

Represented six major Pakistani television broadcasting companies in an action against numerous individuals who misappropriated the clients’ misappropriation of their content in the United States.

Represented clients against copyright infringement claims.

Represented real estate investors in Texas state court for fraudulent misrepresentation with respect to properties sold to our client that resulted in a significant settlement for our clients.

Represented several clients in a securities fraud action in federal court which resulted in a $108 million judgment.

Represented minority shareholders of a Japanese refrigerator manufacturer in a RICO action commenced against majority shareholders in federal court in Illinois that resulted in a successful settlement in favor of our clients.

Represented an information technology company in defense of a claim for $2.4 million in state court in New York, which resulted in a settlement of only $65,000.

Represented a client in a fraud action that resulted in a settlement in which our client obtained the entirety of what it sought from the adverse party.

Finance & Banking: Florence has represented Japanese banks and financial institutions.

Draft, review and revise loan agreements, security agreements and other documentation for financial transactions.

Advising banking clients with respect to compliance with federal and state regulatory requirements.
